Terms and conditions of subscription and use

Terms governing the subscription to and use of the DBR Sales service.

Version of 27 October 2026

Article 1: Purpose and publisher

These terms govern access to and use of the online service Daily Business Review (“DBR”), available at app.daily-business-review.com, published by FRAIDGE, SAS, SIREN 990697187, whose registered office is at 60 rue François Ier, 75008 Paris, France, hereinafter “the Publisher”. Contact: contact@daily-business-review.com.

They apply to the DBR Sales offer subscribed online. The DBR Pilotage offer is subject to a commercial proposal and, where applicable, to a specific contract, which prevails over these terms.

Article 2: Customers

DBR is intended for professionals. By creating an account, the Customer declares that they are acting for purposes within the scope of their professional activity, on their own behalf or on behalf of the company they represent and have the authority to bind.

Article 3: Acceptance

Creating a trial account and subscribing require the express acceptance of these terms, by ticking a box. The version in force is available at any time from the website footer and from the application. The Publisher may amend them; the new version is notified by email at least 30 days before it comes into force, and a Customer who refuses it may terminate free of charge before that date.

Article 4: Free trial

The DBR Sales free trial lasts 3 days from the creation of the account. It gives access to 1 seat and 1 opportunity. It is limited to one trial per email address. No payment method is requested for the trial, which does not automatically turn into a paid subscription. The day before the trial ends, a service email reminds the Customer of its end date. At the end of the trial, without a subscription, the account is no longer accessible. The data is kept and becomes accessible again as soon as a subscription is taken out, within the period provided for in article 11.

Article 5: Subscription, price and payment

The DBR Sales subscription gives access to 1 seat and up to 20 opportunities. Its price is €9.99 per month including VAT (French VAT at 20% included), payable in advance by bank card via the payment provider Stripe. The Publisher never has access to bank card data. An invoice is made available at each billing date. The price may change: any change is notified at least 30 days before the billing date concerned, and a Customer who refuses it may terminate before that billing date.

Article 6: Term, renewal and termination

The subscription is entered into for a term of one month, tacitly renewed from month to month. The Customer may terminate at any time from their account or by writing to contact@daily-business-review.com; termination takes effect at the end of the current monthly period, already paid, without pro rata refund. After termination, the account is no longer accessible.

Article 7: Payment default

If a payment fails, Stripe makes new attempts. If the payment does not go through, access to the account is suspended until the situation is regularised, without loss of data during the retention period provided for in article 11. In accordance with article L441-10 of the French Commercial Code, any sum unpaid on its due date bears interest at three times the legal interest rate, and a fixed indemnity of €40 for recovery costs is owed by the professional Customer.

Article 8: Right of withdrawal (very small businesses)

A professional Customer employing no more than five people, who takes out a subscription that does not fall within the scope of their main activity, benefits from the 14-day right of withdrawal provided for by articles L221-3 and L221-18 of the French Consumer Code, from the date of subscription. It is exercised by email to contact@daily-business-review.com, by means of an unambiguous statement or the form below. By requesting immediate access to the paid service, the Customer agrees to pay the amount proportionate to the service provided until withdrawal (art. L221-25). The refund is made within 14 days.

Withdrawal form: “For the attention of FRAIDGE, 60 rue François Ier, 75008 Paris, France: I hereby give notice of my withdrawal from the DBR Sales subscription contract entered into on [date]. Customer name, account email address, date, signature (if sent on paper).”

Article 9: Service, availability and support

The Publisher uses reasonable means to ensure access to the service 24 hours a day, except for maintenance, failure of hosting providers or force majeure, and develops it over time. This is an obligation of means. Support is provided by email on working days.

Article 10: Artificial intelligence features

Some DBR features (deal review, analyses, simulations) produce content generated by an artificial intelligence system. Such content is labelled as such in the application. It is a decision aid: it may be incomplete or inaccurate and does not replace the judgement of the Customer, who remains solely responsible for its use. When the user interacts with a counterpart simulated by an AI, they are informed of it.

Article 11: Customer data

The Customer remains the owner of the data they enter into or import into DBR. They can export it at any time. At the end of the contract, the data is kept for 30 days, during which the Customer may request its export by email or recover it by subscribing again, and is then deleted, unless there is a legal retention obligation. The processing of personal data entered by the Customer is governed by the Appendix “Data processing”. The processing of users’ data by the Publisher on its own behalf is described in the privacy policy.

Article 12: Use of the service

The user keeps their credentials confidential. They shall not use DBR unlawfully, enter data without a legal basis, attempt to access the data of another organisation, disrupt the service or resell it. The Publisher may suspend an account in the event of a serious breach, after formal notice that has remained without effect for 8 days, or immediately in the event of a security breach.

Article 13: Intellectual property

DBR, its software, content and trademarks remain the property of the Publisher. The Customer receives a personal, non-exclusive and non-transferable right of use for the term of the subscription.

Article 14: Liability

The Publisher can only be held liable in the event of proven fault. Its liability is limited to direct damage and capped, for all causes combined, at the sums paid by the Customer over the twelve months preceding the event giving rise to the claim. Indirect damage is excluded, in particular loss of revenue, customers or business opportunity. These limits do not apply in the event of gross negligence or wilful misconduct, nor to personal injury.

Article 15: Governing law and disputes

These terms are governed by French law. In the event of a dispute, the parties seek an amicable solution before taking any action. Failing that, and between professionals, the dispute is brought before the competent courts within the jurisdiction of the Publisher’s registered office.

Appendix: Data processing (article 28 of the GDPR)

  1. Roles. For the personal data that the Customer enters into or imports into DBR (in particular names, job titles and business contact details of their contacts), the Customer is the controller and the Publisher is the processor.
  2. Instructions. The Publisher processes this data solely to provide the service, in accordance with the Customer’s documented instructions, which consist of these terms and the use of the application. It does not use it for any other purpose.
  3. Confidentiality. Persons authorised to process the data are bound by an obligation of confidentiality.
  4. Security. The Publisher implements appropriate technical and organisational measures (art. 32): encryption of exchanges, separation of data by organisation, access control, logging.
  5. Sub-processors. The Customer authorises the use of the following providers: Supabase (database, European Union, Frankfurt), Netlify (application hosting), OpenAI (AI analysis features, United States), Resend (service emails, Ireland), Stripe (payment). The Publisher informs the Customer of any addition or replacement at least 30 days in advance; the Customer may object by terminating. Transfers outside the European Union are governed by an adequacy decision or the standard contractual clauses of the European Commission.
  6. Data subjects’ rights. The Publisher assists the Customer, as far as possible, in responding to requests to exercise rights.
  7. Data breach. The Publisher notifies the Customer of any personal data breach without undue delay and no later than 48 hours after becoming aware of it, with the information needed for the Customer’s own notification.
  8. Assistance. The Publisher assists the Customer with impact assessments and consultation of the supervisory authority, where necessary.
  9. End of the contract. At the end of the contract, the Publisher allows the data to be exported for 30 days, then deletes it, together with its copies, unless there is a legal obligation.
  10. Audit. The Publisher makes available to the Customer the information needed to demonstrate compliance with this article and allows reasonable audits, at the Customer’s expense, with 30 days’ notice and no more than once a year.
